Findamachine.com Website Agreement / Disclaimer

This ‘Findamachine' website (the "Site") is an online information service provided by Macrotec Machine Tools Ltd, subject to your compliance with the terms and conditions set forth below. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE. THE ADMINISTRATORS OF THIS SITE MAY MODIFY THIS AGREEMENT AT ANY TIME, AND SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY UPON POSTING OF THE MODIFIED AGREEMENT ON THE SITE. YOU AGREE TO REVIEW THE AGREEMENT PERIODICALLY TO BE AWARE OF SUCH MODIFICATIONS AND YOUR CONTINUED ACCESS OR USE OF THE SITE SHALL BE DEEMED YOUR CONCLUSIVE ACCEPTANCE OF THE MODIFIED AGREEMENT.

1. Premium Auto membership

The Findamachine spider will visit your site everynight to update your machines for sale on the Findamachine website.

The Findamachine spider searches your stock list(s) for the exact make and model as the manufacturer defined them. Therefore it is up to the seller to make sure his / her website has the correct spelling for both make and model of each machine for sale.

New machines added to the sellers website will be found unless Findamachine currently does not have this machine specification in our database. If this is the case, the data entry team will be alerted and this specification will be added to the Findamachine database as soon as possible.

Any reasons why a machine will not be found by our spider or a specification could not be added by our data entry team, will be displayed when the seller logs in to their Findamachine account.

If a seller changes his / her website stock list layout / design or URL(s). Their spider will no longer work as each spider is programmed to work on a certain website layout and on certain URL(s). Therefore if a seller changes his / her site a new spider needs to be written at cost to the seller. If the website design has not changed dramatically and just needs the spider modifying or some more URL(s) added to the spider. Please let Findamachine know and this can be done free of charge by Findamachine.

2. Copyright, Licenses and Idea Submissions.

The entire contents of the Site are protected by international copyright and trademark laws. The owner of the copyrights and trademarks are Macrotec Machine Tools Ltd, its advertisers, affiliates or other third party licensors.

• You may not modify, copy, print, reproduce, republish, upload, post, transmit, or distribute in any manner, the code and/or software of the site.
• You may not modify ,copy, reproduce, republish, upload, post, transmit, or distribute, in any manner the material on the site including text or graphics unless you are the designated “controller” of your company’s area of the site.

Any material from the site may be printed solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials. You agree to grant to Findamachine a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to Findamachine  by all means and in any media now known or hereafter developed. You also grant to Findamachine the right to use your name in connection with the submitted materials i.e. Add URL, and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against Findamachine for any alleged or actual infringement or misappropriation of any proprietary right in your communications to Findamachine.

TRADEMARKS

Publications, products, content or services referenced herein or on the Site are the exclusive trademarks or service marks of' Findamachine. Other product and company names mentioned in the Site may be the trademarks of their respective owners.

3. Use of the Site

Advertisers: Terms of Service

Advertisement Guidelines:
Our goal is to keep Findamachine  and any of our affiliated websites as family friendly (child safe) as possible, Our Findamachine publishers will not accept any advertising that may be consider inappropriate for a general viewing audience. This could include, but not be limited to, advertisements that:

• promote sexual and/or harmful exploitation of children
• are deemed to be threatening or defamatory in any manner
• are racially, or ethically prejudicial
• promote obscene, pornographic or sexually explicit materials
• are deemed to promote violence or illegal activities of any kind
• discriminate based on race, sex, religion, or nationality
• promote discrimination of disabilities, sexual orientation, or age
• promote software pirating, pirated software downloads
• promote hacking, or violating rights of computer users
• infringe or violate any copyright, trademark
• infringe or violate other intellectual property rights
• distribute mp3 files without legal rights
•  send unsolicited emails

We reserve the right to be the sole authority who is able to determine the worth or quality of advertisements to be permitted. Any advertisers who are found subsequently to be in violation of this requirement will have their ads removed and account suspended forthwith.

Termination:
Findamachine  reserves the right to discontinue any advertiser's account without notification or recourse. If, in our judgment we:

• believe that an advertiser has violated this agreement or other policies or guidelines that Findamachine has posted on this site
• deem that an advertiser's conduct is detrimental or harmful to other advertisers, consumers, third party publishers, or the reputation of Findamachine  and/or our parent company Macrotec Machine Tools Ltd

All decisions made by Findamachine in this matter will be final.

Findamachine Pricing

We do not anticipate that our advertising rates will have to be increased anytime in the near future. Having stated that, however, we do reserve the right to review our pricing and ad structure from time to time and adjust cost.

General

• You understand that, except for information, products or services clearly identified as being operated by Findamachine, Findamachine does not operate, control or endorse any information, products or services on the Internet in any way. Except for Findamachine-identified information, products or services, all information, products and services offered through the Site or on the Internet generally are offered by third parties that are not affiliated with Findamachine.
• You also understand that while we will make every reasonable effort to maintain a high standard of quality, products and services are provided as seen and Findamachine cannot and does not guarantee or warrant that files available for downloading through the Site will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Site for the reconstruction of any lost data.

YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND THE INTERNET. LIMITATION OF LIABILITY

EVEN IF FINDAMACHINE OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH THE SERVICE. BECAUSE SOME TERRITORIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, FINDAMACHINE LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
Findamachine makes no representations whatsoever about any other web site which you may access through this one or which may link to this Site. When you access a non Findamachine web site, please understand that it is independent from Findamachine, and that Findamachine has no control over the content on that web site. In addition, a link to a Findamachine web site does not mean that Findamachine endorses or accepts any responsibility for the content, or the use, of such web site.

4. Indemnification.

You agree to indemnify, defend and hold harmless Findamachine, its parent registered company Macrotec Machine Tools Ltd, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable legal fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Service.

5. Third Party Rights

The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of Findamachine, its parent registered company Macrotec Machine Tools Ltd and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

6. Miscellaneous

This Agreement shall all be governed and construed in accordance with the laws of United Kingdom applicable to agreements made and to be performed in United Kingdom. You agree that any legal action or proceeding between Findamachine and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in the UK . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Findamachine’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Findamachine may assign its rights and duties under this Agreement to any party at any time without notice to you.
Any rights not expressly granted herein are reserved.

7. Privacy

1) All rights are reserved. Any user of www.findamachine.com (registered or not) may download this material for his or her own use, only. Any copy of these materials must retain all copyright and other propriety notices contained therein. No other use, copying, or transmission of this copyrighted material may be made without the express prior written consent of findamachine.com and Macrotec Machine Tools Ltd.

2) This information is provided AS IS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, PRICES, DIMENSIONS, WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

3) In no event shall findamachine.com or its employees be liable to any person or organization for any special, indirect or consequential damages relating to this material.

4) Findamachine.com does not share lists of customers names and addresses, phone numbers, email addresses etc However access to the password protected areas of the site by any user entitles findamachine.com to the following:

a) The user must register using the user registration form provided and is required to enter certain information including name, title, company, address, phone number, email, and other information. Users providing false information when registering may be denied access to the site at the sole discretion of findamachine.com and Macrotec Machine Tools Ltd.

b) Machine tool or related supplier companies using www.findamachine.com who receive user information are required to comply with the conditions for use as follows:

i) Companies may mail or email product information or related descriptive information about their company/products to the user.

ii) Names, addresses, emails, phone numbers or any other data provided may not be sold, given, or in any way shared with any individual or company outside the company.

iii) Any information that is emailed should be accompanied by a "remove" link to enable the recipient to easily opt-out from receipt of future information.

iv.) Failure to comply with these requirements will result in discontinuation of receipt of future contact information.

5) Findamachine.com does not acquire information relating to credit card details, but employs the services of third party providing a secure platform to protect the privacy of the user. Personal information provided by users is protected using a variety of security technologies including the use of encryption to transmit sensitive information e.g. credit card numbers across the internet.
